Terms of Service

These Terms govern your use of Speakly (the "Service"), operated by Yingwu Labs. By creating an account or using the Service you accept these Terms. If you do not agree, please do not use the Service.
1. Eligibility
You must be at least 13 years old (or 16 in the EU/UK) to use the Service. By using the Service you confirm you meet this age and that you have the legal capacity to enter into this contract.
2. Your account
You are responsible for safeguarding your login credentials and for all activity on your account. Notify support@yingwu.lol immediately if you suspect unauthorised use.
3. Subscriptions & billing
The Service offers paid subscriptions on a monthly or annual basis. Prices are shown before checkout in your local currency where supported. Taxes (VAT/GST/sales tax) are added or included as required by law. Web subscriptions are sold and invoiced by Paddle.com Market Ltd. (Merchant of Record), registered at Judd House, 18-29 Mora Street, London EC1V 8BT, United Kingdom. Paddle will appear on your statement. Mobile subscriptions are billed by Apple App Store or Google Play under their respective terms. Subscriptions auto-renew at the end of each billing period at the then-current price unless cancelled at least 24 hours before renewal. You can cancel at any time from in-app Settings → Manage Subscription, from your Paddle receipt, or from the App Store / Play Store subscription management screens.
4. Free trial
If a free trial is offered, we will clearly disclose its length and the price and date at which it converts to a paid subscription. You may cancel during the trial at no cost.
5. Refunds
EU and UK consumers have a statutory 14-day cooling-off period. We extend the same 14-day refund window to all customers globally for first-time purchases. See our Refund Policy for full details, including exclusions.
6. Licence
Subject to these Terms, Yingwu Labs grants you a limited, non-exclusive, non-transferable, revocable licence to use the Service for personal, non-commercial learning. You may not resell, redistribute, reverse-engineer, or use the Service to build a competing product.
7. User content
You retain ownership of any text, audio or other content you submit. You grant Yingwu Labs a worldwide, royalty-free licence to process that content solely to operate and improve the Service. You confirm that your content does not infringe third-party rights or applicable law.
8. Acceptable use
You agree not to: (a) misuse or attempt to disrupt the Service; (b) use the Service for unlawful, abusive, hateful, sexually explicit or harassing purposes; (c) attempt to extract underlying models or bulk-scrape content; (d) bypass rate limits, authentication, or payment. We may suspend or terminate accounts that violate these rules.
9. AI output disclaimer
The Service uses large language models. AI responses can be inaccurate or outdated. Do not rely on the Service as a substitute for professional advice (legal, medical, financial, etc.). Language lessons and corrections are provided on a "best-effort" educational basis.
10. Third-party services
The Service integrates third-party providers (see Privacy Policy §4). We are not responsible for their availability or their own terms.
11. Termination
You may stop using the Service and delete your account at any time from Settings → Account. We may suspend or terminate accounts for material breach of these Terms with notice where practicable.
12. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW. Nothing in these Terms excludes liability that cannot be excluded under applicable law (including consumer rights).
13. Limitation of liability
To the extent permitted by law, Yingwu Labs's aggregate liability arising from the Service is limited to the greater of (a) the amount you paid us in the 12 months before the claim, or (b) USD 100. We are not liable for indirect, incidental or consequential damages. This limit does not affect mandatory consumer rights.
14. Governing law & disputes
These Terms are governed by the laws of Hong Kong SAR, without regard to conflict-of-laws principles. Consumers domiciled in the EU/UK retain the protection of the mandatory rules of their country of residence. Disputes may be submitted to the courts of Hong Kong; consumers may also bring claims in their local courts. EU consumers may use the Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.
15. Changes to these Terms
We may update these Terms. Material changes will be notified at least 14 days in advance, in-app or by email. Continued use after the effective date constitutes acceptance.
